General Terms and Conditions (GTC) of NEXXANO L.L.C-FZ
Code of Conduct for Independent NEXXANO L.L.C-FZ Sales Partners
(hereinafter referred to as "Partners" for the sake of clarity)
As an independent partner of NEXXANO L.L.C-FZ (hereinafter: NEXXANO), I affirm:

• that I will maintain and promote NEXXANO's good reputation and always conduct myself politely, respectfully, honestly, and fairly;
• that I will play a supportive and educational role as an upline/mentor to my downline;
• that I will respect the upline assignment of other partners and not interfere with existing structures;
• that I will adhere to company policies not only formally, but also in accordance with the NEXXANO philosophy;
• that I will not make any statements about products that are not included in official NEXXANO publications;
• I will expressly point out that licenses or products can be purchased through the shop at NEXXANO Meydan Grandstand, 6th floor, Meydan Road, UAE-NAD Al She Dubai;
• I will not misrepresent the potential income according to the compensation plan;
• I will not make defamatory statements about other companies or partners in order to entice them.

Subject of the Agreement
NEXXANO enables its partners to earn bonuses and commissions through the sale of offered services. There is no obligation to use the service.

1 Formation of the Agreement
Participation takes place by registering on the NEXXANO website. By registering, the partner accepts these Terms and Conditions and consents to the use of their personal data for contract processing.
Persons of legal age and with legal capacity are eligible to participate. Acceptance as a partner can be refused without giving reasons.
The partner undertakes to notify changes to their data immediately.

2 Legal Status of Partners
The Partner acts as an independent entrepreneur and undertakes to initially pursue their activity on a part-time basis. NEXXANO must be informed of this upon transition to their main occupation.
The Partner is not an employee or representative of NEXXANO and is not subject to any instructions.
They are responsible for all official permits and tax obligations (e.g., business registration, tax office).
Unless otherwise stated, the Partner is considered a small business owner within the meaning of Section 19 of the German Value Added Tax Act (UStG).

3 Sale of Products
The Partner may advertise and sell NEXXANO's services, but must comply with all legal requirements and company guidelines.
Misleading statements, aggressive sales methods, and unfair advertising are prohibited.
Sales are conducted exclusively through direct sales.
Consumers must be expressly informed of their right of withdrawal.

4 Distribution of Third-Party Products
The Partner is permitted to distribute other products/services, provided they are not direct competitors of NEXXANO.

5 Advertising by Partners
The use of NEXXANO trademarks, logos, slogans, or product images requires prior written consent.
Social media presence is permitted solely for the purpose of promoting NEXXANO products and will end upon termination of the contract.
The use of such accounts for other companies after the contract has ended is prohibited.
Telephone or digital communication must not create the impression that they are official NEXXANO channels.
The Partner's domain names must not convey the impression that they are owned by NEXXANO or are official company websites.

6 Image and Video Rights
By submitting content (photos, videos, etc.), the partner grants NEXXANO a simple, non-exclusive, revocable right of use for internal training and advertising purposes within the framework of the NEXXANO partner program.
Use may only be in connection with NEXXANO. Disclosure to third parties or any other use requires the partner's prior consent.
The partner guarantees not to infringe the rights of third parties and indemnifies NEXXANO in the event of damages.
Permission to use may be revoked at any time with effect for the future. The authorship will be named upon publication, unless otherwise agreed.

7 Termination of Contract
Ordinary termination is subject to the statutory notice periods.
The right to extraordinary termination for good cause remains unaffected.

8 Commission System
NEXXANO's commission system is an integral part of the partner contract.
If the partner successfully refers other partners, they will receive performance-based commissions in accordance with the NEXXANO compensation plan.
NEXXANO is entitled to offset commission claims against outstanding claims.

The partner may only offset undisputed, legally established, or ready-to-decide counterclaims.
Any overpaid commissions must be repaid.

9 Payment of Commissions
Remuneration is paid in the form of variable bonuses and commissions, depending on sales.
There is no entitlement to a specific minimum remuneration.
Commissions are paid between the 10th and 15th of the following month and billed separately.

10 Changes to the Terms and Conditions
NEXXANO is entitled to adapt the Terms and Conditions and the remuneration system if this is necessary to adapt to changed legal or economic conditions and the partner is not unreasonably disadvantaged as a result.
Changes will be announced at least four weeks before they come into effect. If the partner does not object within this period, the changes are deemed accepted.
This legal consequence will be expressly pointed out in the notification of the change.

11 Liability
NEXXANO is only liable for damages caused by intent or gross negligence. The partner is liable for damages resulting from unlawful use on their part.

12 Place of Jurisdiction and Applicable Law
The law of the Federal Republic of Germany applies.
The place of jurisdiction is Dubai, to the extent permitted by law.
NEXXANO is also entitled to file suit at the partner's place of residence.
Should any provision of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.

Cancellation Policy
Right of Cancellation
You have the right to cancel this contract within 14 days without giving any reason.
The cancellation period is 14 days from the date of conclusion of the contract.

of your decision to withdraw from this contract by means of an unambiguous statement (e.g., letter, fax, or email). You may use the attached model withdrawal form for this purpose, but this is not mandatory.
Consequences of Withdrawal
If you withdraw from this contract, we will refund all payments we have received from you no later than 14 days from the date on which we received notification of your withdrawal.
For the refund, we will use the same means of payment that you used for the original transaction, unless something else was expressly agreed with you.
